These Terms and Conditions ("Terms") govern your access to and use of the Schedule Prism software ("Software") provided by Quant Solutions Australia Pty Ltd ("Company", "we", "us", or "our"). By downloading, installing, or using the Software, you agree to be bound by these Terms.

1. Subscription and Payment

• Schedule Prism is available via:

  • Monthly Subscription: $19.99 AUD per month/per user per computer.

  • Annual License: $199.90 AUD one-time payment for 12 months of access per user per computer.

• Payments are processed securely through our designated payment provider.

• Subscriptions automatically renew unless cancelled prior to the renewal date.

• You may cancel your subscription at any time. Access will remain active until the end of the current billing period.

• Refunds are not provided for partial months, unused time, or early cancellation of annual licenses.

• Each license is valid for one named user and one device. If you require use on multiple computers, additional licenses must be purchased.

2. License Grant

• Upon payment, you are granted a non-exclusive, non-transferable, revocable license to download and use Schedule Prism for personal or business use.

• This license does not permit resale, redistribution, or sublicensing of the Software.

• The Software is designed to operate only on Microsoft Windows operating systems, and no support or compatibility is provided for other platforms.

3. Restrictions

You agree not to:

• Modify, reverse engineer, decompile, or disassemble the Software.

• Use the Software for any unlawful, harmful, or unauthorized purpose.

• Circumvent or attempt to bypass any licensing or security mechanisms.

4. Updates and Support

• The Company may release updates, patches, or enhancements to Schedule Prism at its discretion.

• Technical support is available via [Insert Support Email or Website]. Response times may vary.

• Users are strongly encouraged to install and use the latest available version of Schedule Prism to ensure optimal functionality and compatibility.

5. Data and Responsibility

• You are solely responsible for managing, storing, and backing up any data, reports, or analysis generated through Schedule Prism. The Company does not retain or recover user data and shall not be liable for any loss, corruption, or inaccuracy of data resulting from user actions or external causes. You are also responsible for ensuring that any reports or outputs generated by the Software are reviewed and used appropriately within your organisation.

• Users may export data/ reports from Schedule Prism for their own analysis and reporting purposes and may share or distribute such exported data freely

6. Termination

• We may permanently or temporarily terminate or suspend your access to the software without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations.

• Upon termination, your license will be revoked, and you must uninstall all copies of the Software.

• Monthly subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment. Annual subscription payments will not be refunded.

7. Intellectual Property

• All intellectual property rights in Schedule Prism, including but not limited to software code, design, and branding, remain the exclusive property of Quant Solutions Australia Pty Ltd.

• You may not use any trademarks, logos, or branding associated with the Software without prior written consent.

8. Indemnification

• You agree to indemnify and hold Quant Solutions Australia Pty Ltd harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the Schedule Prism.

9. Limitation of Liability

• To the maximum extent permitted by applicable law, in no event shall Quant Solutions Australia Pty Ltd, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, Schedule Prism.

• To the maximum extent permitted by applicable law, Quant Solutions Australia Pty Ltd assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of Schedule Prism; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

10. Privacy

• Your use of Schedule Prism is subject to our [Privacy Policy], which outlines how we collect, use, and protect your personal data.

11. Third-Party Integrations and AI Disclaimer

• Schedule Prism may integrate or interoperate with third-party applications and platforms, including but not limited to Power BI, Microsoft Excel, and AI-powered tools. Your use of these third-party services is subject to their respective terms and privacy policies. Quant Solutions Australia Pty Ltd is not responsible for the functionality, security, or data handling practices of any third-party integrations.

• Schedule Prism does not generate or make decisions using artificial intelligence. It provides AI-ready prompts to assist users in obtaining further analysis through external AI engines at their discretion. Any insights, conclusions, or recommendations generated through such third-party AI tools are not part of the Software and remain the sole responsibility of the user.

• All features and functionalities of Schedule Prism have been independently designed, developed, and coded by Quant Solutions Australia Pty Ltd. The Software does not use any AI-generated code, AI-assisted programming tools, or third-party generative content in its core development.

12. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of Western Australia, without regard to its conflict of law provisions.

• Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in Western Australia.

13. Changes to Terms

• We may update these Terms from time to time.

• Therefore, you should review these pages periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms.

• Continued use of Schedule Prism after changes are posted constitutes your acceptance of the revised Terms.

• If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the software.

14. Promotional emails and content

• You agree to receive from time to time promotional messages and materials from us, by mail, email or any other contact form you may provide us with (including your phone number for calls or text messages). If you don't want to receive such promotional materials or notices – please just notify us at any time.
